So far, the bringing of this to light on the VCA forum is by far the best traction it has ever had. MANY of the people there only visit that site and had no clue what was going on, until now. The problem is that a lot of the members are very rarely (or never at all) on the forums, period. The only way I can think of to try to truly get the word to everyone, would be if someone had the mailing list for all VCA members and sent a letter in the mail to each and every one of them.

NONPROFIT CORPORATION ACT (EXCERPT)
Act 162 of 1982


450.2487 Mailing balance sheet and statements to shareholder or member upon request; examination of minutes and records; compelling production of books, records, and minutes; extracts.
Sec. 487.

(1) Upon written request of a shareholder or member, a corporation shall mail to the shareholder or member its balance sheet as at the end of the preceding fiscal year; its statement of income for such fiscal year; and, if prepared by the corporation, its statement of source and application of funds for such fiscal year.

(2) A person who is a shareholder or member of record of a corporation, upon at least 10 days' written demand, may examine for any proper purpose in person or by agent or attorney, during usual business hours, its minutes of shareholders' or members' meetings and record of shareholders or members and make extracts therefrom, at the places where they are kept pursuant to section 485.

(3) Upon proof by a shareholder or member of a proper purpose, the circuit court may compel production for examination by the shareholder or member of the books and records of account, minutes, and record of shareholders or members of a corporation, and may allow the shareholder or member to make extracts therefrom.

Another way would be for a few members to file a Cllass Action Lawsuit on behalf of all members. That would ensure that all members received a formal notice of alleged issues.

The VCA is no longer incorporated in Michigan. When the Marshalls took over adminstration they moved it to Kansas. Hasnt been a Michigan Corp for about three years now.

They have been filing their corporate reports in Michigan since 2003. The 2012 report is also on file. THey are still shown as an active entity,and that famous letter writer, Tim Wollesen is shwon as a director. The other "non-officer" director is non other Daytonflower.

VCA is not registered in Kansas. The VPA however is now a Kansas Corporation with the last Annual Report filed 0n 5/23/2013. Click on the link and do the search for business entity name Vliper Parts of America. It is interesting to note that only Chris Marshall's Name appears as either an officer or director. No onther names are shown on the annual report. Keeping with the new "transparency" policy as promised. Big secret.

Before too many of you dislocate a shoulder patting yourselves on the back know this. ANYTIME you have a group of homo sapiens gathered together who have access to power without accountability, there will be corruption. Every fucking time. At the national level Obama is running wild because the press is not doing their job in holding him accountable in fact they are holding his ball sack however small it surely is. It's the old adage "power corrupts and absolute power corrupts absolutely." This applies to a cub scout pack, a PTA, a car club, an HOA, a city council, a company and so on right up the chain. Going forward whatever is decided, if the light of day does not shine on whatever repairs or replaces the current VCA, you WILL be right back at this point in the future so please don't act as though you discovered water is wet when it happens.

That's because I am completely insane. LOL

The problem with starting "another club" quite honestly is that there are not enough people to support 2 clubs and there are many folks who are "unaware" of the goings on. As you guys have noted - probably 10% of the members are active on the website / here. So- while you have to get to all the Presidents, you then have to get the Presidents to manage their mailing lists and convince their members to not renew when they get their VCA renewal (and be honest - how many of you just have your wives just pay it?)

Then - it's undoing the SRT tie ins with logos and other stuff, etc - it's messy and not really the right things for the members to fragment a pretty small club / market to begin with.

And, lastly - it's not the "entity" it's the people that are causing all the issues.

I think the VCA should be able to maintain its history and it's members with a change in leadership and a rekindling of the relationship with the manufacturer.

And - ever member deserves to be treated with respect. There are truly VERY FEW things that need to be kept "secret" (like VOI locations, or other things under NDA with the manufacturer) but even then - after the info is "out there" - the disclosure should be retroactive. The key is regaining trust and believing that the leadership will keep the (minimal) stuff secret for a short period of time, and certianly have everything else open to the light of day. Committees with members, regional presidents, open and consistent communications, etc. Truly - not that hard, IMO.

The conclusion seems to be that their are only three ways to really effect any change:
1. By changing the bylaws
2. By changing the attitude of the present BOD Members
3. By commencing some type of legal action

The bylaw route requires at least 30% of the members.
The BOD route requires new members to be voted to the Board. Too late for this year and realistically an almost impossible task.
Legal action seems to be the most viable option, but I've raised that possibility several times in the past with no response.
That leaves us with the quote from the rental car girl in Planes, Trains and Automobiles.
"You're fucked".

If the current leaders have truly seen the light, let them reopen the bylaws thread and do an honest, open and fair re-examination by all.

All good points Janni, but with the current leadership cemented in power and not willing to leave, I would rather be part of a smaller, well informed group and we can then start to enlighten those that do not go on the VCA website, thru email or thru help from SRT. I would bet SRT would jump on board with you and Maurice.

I won't be signing back up with the VCA unless they put you or Maurice in charge for the transition.
